These terms are an agreement between you and SUPERMIND PTE. LTD. (“we”, “us”), the operator of Macchiato — the website at macchiato.chat, the Macchiato iOS app, and the services behind them (together, “the service”). By creating an account or using the service, you agree to these terms and to our Privacy Policy. If you do not agree, please do not use the service.
We have tried to write these terms in plain language. Where a section summarizes the law in simple words, the simple words are what we mean.
1. What Macchiato is — and what it is not
Macchiato is a chat client for communicating with an AI agent that you provide, run, and control — typically on your own computer or server. The service relays messages between your devices and your agent, stores your conversation history so it is available across your devices, and delivers notifications.
We do not provide, host, operate, or supervise the AI agent itself, or the AI models it uses. The agent is software you choose and run under your own authority, subject to its own licenses and terms. Macchiato is the messenger, not the agent.
2. Eligibility and your account
- You must be at least 18 years old (or the age of majority where you live, if higher) to use the service.
- Sign-in is passwordless: we send a one-time code to your email address. Your email account is effectively the key to your Macchiato account — keep it secure. You are responsible for activity that happens through your account.
- Keep your account email accurate and current; it is how we reach you about the service.
- Tell us at hello@macchiato.chat if you believe your account has been accessed without your permission.
3. Your content
Your conversations, attachments, and everything else you submit through the service (“your content”) remain yours. We claim no ownership of it.
So that the service can function, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, back up, encrypt, transmit, and display your content — solely to operate the service for you (for example: syncing a conversation to your other devices, or relaying a message to your agent). This license ends when you delete the content or your account, except for brief periods needed to purge backups.
Consistent with our Privacy Policy, we do not:
- sell your content or personal data;
- use your content to target advertising;
- use your content to train machine-learning models.
For conversations you mark as end-to-end encrypted, message text is encrypted so that our servers relay and store only ciphertext they cannot read; the license above applies to that ciphertext and to the limited routing metadata described in the Privacy Policy. End-to-end encryption currently covers message text only: attachments — images, files, and voice recordings — are not end-to-end encrypted, even in a conversation marked as encrypted. The Privacy Policy explains this in more detail.
You are responsible for your content and must have the necessary rights to anything you submit.
4. Your agent, your approvals
This section matters more in Macchiato than in an ordinary chat app, so please read it carefully.
- The agent acts for you, not for us. Anything your agent does — running commands, editing files, calling tools, accessing the internet — happens on systems you control, under your instructions and configuration. We transmit messages; we do not inspect, validate, or execute what your agent does.
- Approvals are your decisions. When the app shows an approval request (for example, to edit a file or run a command) and you tap Approve, you are authorizing that action on your own systems. Review requests before approving. If you enable “Always allow” for an action, you are authorizing future actions of that kind without being asked again — use it deliberately.
- Pair only agents you are authorized to use. Do not connect the service to machines, accounts, or agents you do not own or lack permission to operate.
- We are not responsible for loss or damage caused by your agent’s actions, including actions you approved or configured to run without approval.
5. AI-generated content
Responses in your conversations are generated by your agent and the AI models it uses. They can be wrong, incomplete, or misleading, and they are not professional advice. Do not rely on agent output as legal, medical, financial, or other professional advice, and review it before acting on it — especially before approving actions that change your systems or data. We do not provide or operate the AI models that generate these responses, and we make no promises about the accuracy of AI-generated content.
6. Acceptable use
You agree not to use the service to:
- break the law, or store or transmit content that is illegal where you or we operate;
- infringe others’ rights, including intellectual-property and privacy rights;
- send spam, distribute malware, or operate an agent that harasses people or automates abuse;
- probe, disrupt, or overload the service, or try to access accounts, data, or infrastructure that are not yours;
- misrepresent who you are or bypass limits we place on the service (such as rate or size limits);
- resell or offer the service to third parties without our written permission.
We may suspend or terminate accounts that violate this section (see section 11).
7. Fees
The service is currently free of charge. We may introduce paid plans or paid features in the future; if we do, we will announce them and their prices clearly, and nothing you already use will silently start charging you. Any purchases made through Apple are also subject to Apple’s payment terms.
8. The iOS app and Apple
If you use the Macchiato iOS app from the App Store, the following also applies: these terms are between you and us, not with Apple Inc. Apple has no obligation to provide maintenance or support for the app and is not responsible for addressing any claims relating to it (including product liability, regulatory, or intellectual-property claims). If the app fails to conform to an applicable warranty, you may notify Apple and Apple will refund the purchase price you paid for the app, if any; to the maximum extent permitted by law, Apple has no other warranty obligation for the app. Apple and its subsidiaries are third-party beneficiaries of these terms with the right to enforce them against you, and your use of the app must also comply with the App Store Terms of Service, including the Licensed Application End User License Agreement. You represent that you are not located in a country subject to a United States government embargo and that you are not on any United States government list of prohibited or restricted parties.
9. Our intellectual property; source-available software
The service — including the Macchiato name, logo, apps, and software — is owned by us or our licensors and is protected by intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the apps as part of the service. You may not copy, modify, distribute, or reverse-engineer the service except where the law permits it regardless of this restriction, or where a separate license (below) grants you broader rights.
Source-available components. Some Macchiato software is distributed under its own license rather than these terms. In particular, the Macchiato connector — the program you install next to your agent to link it to the service — is published at github.com/macchiato-chat/macchiato under the PolyForm Shield License 1.0.0. For that code, the PolyForm Shield license governs — including your rights to use, modify, and redistribute it, and its conditions (such as the required copyright notice and the restriction on using it to provide a competing product). Nothing in this section narrows the rights that license grants you, and nothing in that license expands your rights to the hosted service under these terms.
If you send us feedback or suggestions, we may use them without obligation to you — we appreciate them, and they don’t create any rights in the service for you.
10. Availability and changes to the service
We work to keep the service reliable, but it is provided without an uptime guarantee. The service may be interrupted — by maintenance, failures of our infrastructure providers, or events beyond our control — and messages may occasionally be delayed. Your agent also depends on the machine you run it on: if it is offline, your messages wait.
We may change, add, or remove features over time. If we ever discontinue the service as a whole, we will give you reasonable advance notice where practicable so you can export or preserve what you need.
11. Termination
- You can leave at any time. You can stop using the service, and you can delete your account in Settings → Delete account. Deletion is immediate and permanent: your conversations, attachments, and linked agents are removed and cannot be recovered; copies in our encrypted backups are purged within 30 days.
- We can suspend or terminate your access if you materially breach these terms, if we are required to by law, or if we discontinue the service (with notice as described above). Where reasonable, we will warn you first and give you a chance to fix the problem.
- Sections that by their nature should survive termination (including sections 3–5, 9, and 12–15) survive it.
12. Disclaimers
The service is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, secure, or error-free, that data will never be lost, or that AI-generated content will be accurate or fit for any purpose.
Some jurisdictions do not allow certain warranty exclusions; where that is the case, the exclusions apply to the extent permitted. Nothing in these terms affects consumer rights that cannot be waived by contract.
13. Limitation of liability
To the fullest extent permitted by law: we will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising from or related to the service — including damage caused by actions of your agent, whether or not you approved them. Our total liability for all claims relating to the service is limited to the greater of S$100 or the amount you paid us for the service in the twelve months before the claim.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or for death or personal injury caused by negligence.
14. Indemnity
If a third party brings a claim against us arising from your content, your use of the service in breach of these terms, or the actions of an agent you operate, you agree to indemnify us against the resulting losses, liabilities, and reasonable legal costs — except to the extent the claim arises from our own breach of these terms. We will notify you of any such claim and let you control the defense where appropriate.
15. Governing law and disputes
These terms are governed by the laws of Singapore, without regard to conflict-of-law rules. Disputes that cannot be resolved informally shall be subject to the exclusive jurisdiction of the courts of Singapore. If you contact us at hello@macchiato.chat first, we will try in good faith to resolve the matter without formal proceedings. If mandatory consumer-protection law in your country of residence gives you the right to bring proceedings there, these terms do not take that right away.
16. Changes to these terms
We may update these terms as the service evolves. We will post the new version here with an updated date, and for material changes we will additionally notify you in the app or by email before they take effect. If you keep using the service after a change takes effect, that constitutes acceptance; if you do not agree, stop using the service and delete your account.
17. General
- These terms and the Privacy Policy are the entire agreement between you and us about the service — except that software distributed under its own license (section 9) remains governed by that license.
- If part of these terms is found unenforceable, the rest remains in effect.
- If we do not enforce a provision, that is not a waiver of our right to enforce it later.
- You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition, or sale of the service, and will notify you if we do.
- You agree to comply with applicable export-control and sanctions laws when using the service.
